Welcome to ShedSync! These Terms of Service ("Terms") govern your use of our portable building inventory management platform. By creating an account or using our services, you agree to these Terms.
IMPORTANT: Please read these Terms carefully. By using ShedSync, you agree to be bound by these Terms and our Privacy Policy.
1. Service Description
ShedSync provides a multi-dealer SaaS platform for portable building dealers, including:
- Customizable dealer websites with subdomain or custom domain
- Automated inventory synchronization with GPB Sales
- Photo management and building information display
- Facebook auto-posting integration
- Multi-location inventory tracking
- Custom branding and color schemes
2. Account Registration
2.1 Eligibility
You must be:
- At least 18 years old
- A legitimate portable building dealer or business owner
- Authorized to accept these Terms on behalf of your business
2.2 Account Information
- You must provide accurate, current, and complete information
- You are responsible for maintaining the security of your account credentials
- You must notify us immediately of any unauthorized access
- One account per business entity
2.3 Account Security
- Do not share your login credentials
- Use a strong, unique password
- You are responsible for all activity under your account
3. Subscription and Billing
3.1 Free Trial
- New accounts receive a 72-hour free trial
- Full platform access during trial period
- No credit card required for trial
- Trial automatically expires after 72 hours
3.2 Paid Subscription
- Price: $99/month (subject to change with 30 days notice)
- Billing: Monthly recurring charges via PayPal
- Auto-Renewal: Subscription automatically renews unless canceled
- No Refunds: Payments are non-refundable (see section 4.3)
3.3 Payment Processing
- Payments processed securely through PayPal
- You authorize recurring charges to your PayPal account
- Failed payments may result in service suspension
4. Cancellation and Termination
4.1 Your Right to Cancel
- You may cancel your subscription at any time
- Contact: support@shed-sync.com
- Access continues until the end of your current billing period
- No refunds for partial months
4.2 Our Right to Terminate
We may suspend or terminate your account if you:
- Violate these Terms
- Engage in fraudulent activity
- Abuse the platform or other users
- Fail to pay subscription fees
- Upload illegal or inappropriate content
4.3 Effect of Termination
- Your dealer website will be taken offline
- Access to admin dashboard will be revoked
- Your data will be deleted 30 days after cancellation
- No refunds for unused time
5. Your Content and Data
5.1 Ownership
- You retain ownership of all content you upload (photos, business info, inventory data)
- ShedSync retains ownership of the platform, software, and infrastructure
5.2 License to Use Your Content
By using ShedSync, you grant us a limited license to:
- Display your content on your dealer website
- Store your content on our servers
- Post to your Facebook page when auto-posting is enabled
- Use your content to provide and improve our services
5.3 Content Restrictions
You may NOT upload content that:
- Violates intellectual property rights
- Contains illegal, harmful, or offensive material
- Infringes on privacy or publicity rights
- Contains viruses or malicious code
- Violates any applicable laws
5.4 Data Backup
- We perform regular backups for disaster recovery
- You are responsible for maintaining your own backups
- We are not liable for data loss
6. Facebook Integration
6.1 Authorization
- You authorize ShedSync to post to your Facebook Business Page
- You must be an admin of the Facebook page you connect
- You can revoke access at any time
6.2 Facebook Terms
- You agree to comply with Facebook's Terms of Service and Platform Policies
- You are responsible for content posted to your Facebook page
- ShedSync is not liable for Facebook policy violations
6.3 Auto-Posting
- Auto-posting only occurs when you explicitly enable it
- You control which buildings are posted through your settings
- Posts are created using templates you can customize
- You can disable auto-posting at any time
7. GPB Sales Integration
- You authorize ShedSync to access your GPB Sales account
- Your GPB Sales credentials are encrypted and stored securely
- Inventory syncs automatically based on your settings
- You can disable syncing or remove credentials at any time
- ShedSync is not affiliated with or endorsed by GPB Sales/Graceland
8. Domain and Website
8.1 Subdomain
- You receive a free subdomain:
yourbusiness.shed-sync.com - Subdomain must be unique and appropriate
- We reserve the right to reclaim inappropriate subdomains
8.2 Custom Domain
- You may connect your own custom domain
- You are responsible for DNS configuration
- You must own or control the domain
- Domain must point to our servers as instructed
8.3 Website Content
- Your public website displays inventory and business information
- Content is publicly accessible to anyone who visits your URL
- You control what information is published
9. Acceptable Use Policy
You agree NOT to:
- Use the service for illegal purposes
- Attempt to breach security or authentication
- Interfere with other users' access
- Upload malware, viruses, or harmful code
- Scrape, crawl, or harvest data from the platform
- Reverse engineer or decompile the software
- Resell or redistribute the service
- Impersonate others or provide false information
- Spam, harass, or abuse other users or systems
10. Intellectual Property
10.1 Our IP
- ShedSync owns all rights to the platform, software, and trademarks
- You receive a limited license to use the service
- You may not use our trademarks without permission
10.2 Your IP
- You represent that you have rights to all content you upload
- You are responsible for obtaining necessary permissions
- You indemnify us against IP infringement claims
11. Disclaimers and Limitations
11.1 Service "As Is"
DISCLAIMER: ShedSync is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
11.2 No Guarantee of Uptime
- We strive for 99.9% uptime but do not guarantee uninterrupted service
- Maintenance windows may require brief downtime
- We are not liable for service interruptions
11.3 Third-Party Services
- We rely on third-party services (Vercel, Neon, PayPal, Facebook)
- We are not responsible for third-party service failures
- Changes to third-party APIs may affect functionality
11.4 Limitation of Liability
IMPORTANT: To the maximum extent permitted by law, ShedSync shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, even if we have been advised of the possibility of such damages.
Our total liability to you for any claims arising from your use of the service is limited to the amount you paid us in the 12 months prior to the claim (maximum $1,188).
12. Indemnification
You agree to indemnify, defend, and hold harmless ShedSync, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including legal fees) arising from:
- Your use of the service
- Your content or data
- Your violation of these Terms
- Your violation of any third-party rights
- Your violation of applicable laws
13. Changes to Terms
- We may modify these Terms at any time
- Changes will be posted on this page with an updated date
- Significant changes will be notified via email
- Continued use after changes constitutes acceptance
- If you disagree with changes, you must cancel your account
14. Changes to Service or Pricing
- We may modify, add, or remove features at any time
- Price changes will be communicated 30 days in advance
- You may cancel before price changes take effect
15. Dispute Resolution
15.1 Informal Resolution
Before filing a claim, you agree to contact us at support@shed-sync.com to attempt informal resolution.
15.2 Governing Law
These Terms are governed by the laws of the United States and the state in which ShedSync is incorporated, without regard to conflict of law provisions.
15.3 Arbitration
Any disputes not resolved informally will be settled by binding arbitration in accordance with the American Arbitration Association rules.
16. General Provisions
16.1 Entire Agreement
These Terms, along with our Privacy Policy, constitute the entire agreement between you and ShedSync.
16.2 Severability
If any provision is found unenforceable, the remaining provisions remain in effect.
16.3 No Waiver
Our failure to enforce any right does not waive that right.
16.4 Assignment
You may not assign these Terms without our consent. We may assign these Terms at any time.
16.5 Force Majeure
We are not liable for delays or failures due to circumstances beyond our reasonable control.
